Welcome to http://www.RelevancyRank.com. The http://www.RelevancyRank.com website (the “Site”) is comprised of various web pages operated by Hive Digital, Inc. (“Hive Digital”). http://www.RelevancyRank.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You acknowledge that Hive Digital is not responsible for third party access to your account that results from theft or misappropriation of your account. Hive Digital and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

Hive Digital does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use http://www.RelevancyRank.com only with permission of a parent or guardian.

You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Hive Digital content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of Hive Digital and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Hive Digital or our licensors except as expressly authorized by these Terms.

International Users
The Service is controlled, operated and administered by Hive Digital from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Hive Digital Content accessed through http://www.RelevancyRank.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Indemnification
You agree to indemnify, defend and hold harmless Hive Digital, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Hive Digital reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Hive Digital in asserting any available defenses.

Liability disclaimer
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. Hive Digital, INC. AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

Hive Digital, INC. AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF Hive Digital, INC. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination/access restriction
Hive Digital reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of North Carolina and you hereby consent to the exclusive jurisdiction and venue of courts in North Carolina in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Hive Digital as a result of this agreement or use of the Site. Hive Digital’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Hive Digital’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Hive Digital with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Hive Digital with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Hive Digital with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Changes to Terms
Hive Digital reserves the right, in its sole discretion, to change the Terms under which http://www.RelevancyRank.com is offered. The most current version of the Terms will supersede all previous versions. Hive Digital encourages you to periodically review the Terms to stay informed of our updates.

API Terms of Use

This document sets forth the terms on which Hive Digital, Inc. (“Hive Digital”) makes the RelevancyRank API (as defined below) available for use by approved licensees on other approved Web sites and applications. By using the RelevancyRank API, you and the organization identified in your registration for the RelevancyRank API (“you”) agree to be bound by the following terms of use (“API Terms of Use”). If a person or entity is accessing the RelevancyRank API on your behalf or otherwise through your account, “you” or “your” will include any such person or entity. You further agree to ensure that any agent, representative, employee or other person or entity acting on your behalf in connection with accessing the RelevancyRank API complies with these API Terms of Use. You agree that you are responsible and liable for the acts and omissions of anyone accessing the RelevancyRank API through your account, including such person’s or entity’s failure to comply with these API Terms of Use.

1. RelevancyRank API
The RelevancyRank API is Hive Digital’s service that allows approved licensees to retrieve certain data (“Hive Digital Data”). The RelevancyRank API consists of an application programming interface (API) for retrieving various Hive Digital Data, grouped generally into calls to retrieve data found on Hive Digital’s proprietary service (http://www.RelevancyRank.com). Hive Digital may release subsequent versions of the RelevancyRank API and require you to obtain and use the most recent version. New versions may not be compatible with previous implementations. The RelevancyRank API offers two services with differing terms of use. The “RelevancyRank Free API” consists of a small number of metrics that can be redistributed publicly and have a default usage limit. The “Paid RelevancyRank API” consists of a larger set of metrics that cannot be redistributed publicly without written permission and for which the user must pay a fee per access.

2. License to RelevancyRank API & Data
If you are approved by Hive Digital for use of the RelevancyRank Free API, and subject to your compliance with these Terms of Use, you may access the RelevancyRank Free API, implement the RelevancyRank Free API on your Web site(s) and application(s) and distribute Hive Digital Data only to consumers for their personal use without charge on your Web site(s), all in accordance with the RelevancyRank API Branding Requirements. If you are approved by Hive Digital for use of the Paid RelevancyRank API, and subject to your compliance with these Terms of Use, you may access the Paid RelevancyRank API, implement the Paid RelevancyRank API on your Web site(s) and Application(s) and distribute Hive Digital Data only to your own employees or customers and not to the general public, all in accordance with the RelevancyRank API Branding Requirements . This license is subject to the following restrictions:

  • All calls to the RelevancyRank API must reference the RelevancyRank API key (the “APIKEY”) issued to you as an approved licensee.
  • You agree that you will provide the Hive Digital Data to users on “as is” terms, with disclaimers substantially equivalent to those set forth in Sections 7 and 8.
  • You agree to keep the APIKEY confidential, and not to share it with any third party. This license is personal to you, and any of your affiliates must seek and obtain their own license and APIKEY.
  • You may present Hive Digital Data only on a transactional basis. You will not permit your users to access Hive Digital Data in bulk.
  • You may not retain any copies of Hive Digital Data. Your license to Hive Digital Data is limited to making direct server calls to RelevancyRank.com for Hive Digital Data and to distributing Hive Digital Data to your end users on your Web site(s) and/or application(s) immediately upon receipt by your servers.
  • You may not collect personally identifiable information using the RelevancyRank APIs from any person without obtaining such person’s express, affirmative and informed consent to do so.
  • You may not present the Hive Digital Data (or permit Hive Digital Data to be presented) so that it appears to be available from a third party Web site unless written approval is provided.
  • You further agree not to otherwise reproduce, modify, distribute, decompile, disassemble, copy, create derivative works of or reverse engineer any aspect portion of the RelevancyRank API or of any Hive Digital Data, including source code or algorithms.
  • You may not use the RelevancyRank APIs in a manner that exceeds reasonable request volume, constitutes excessive or abusive usage, or otherwise fails to comply or is inconsistent with any part of the RelevancyRank API documentation located within http://RelevancyRank.com/api.php, as determined by Hive Digital in its sole discretion.
  • Users of the RelevancyRank Free API are provided limited access from the RelevancyRank API per day. Hive Digital may approve higher daily limits if you adhere to these API Terms of Use and agree to pay a usage fee. Please contact Hive Digital at support@RelevancyRank.com for more details. Users of the Paid RelevancyRank API do not have a daily limit but must pay usage fees for the data they access as specified in their individual contract.
  • You may not use the RelevancyRank APIs in connection with or to promote any products, services, or materials that constitute, promote or are used primarily for the purpose of dealing in: spyware, adware, or other malicious programs or code, counterfeit goods, items subject to US embargo, hate materials (e.g. Nazi memorabilia) or materials urging acts of terrorism or violence, goods made from protected animal/plant species, recalled goods, hacking/surveillance/interception/descrambling equipment, cigarettes, illegal drugs and paraphernalia, unlicensed sale of prescription drugs and medical devices, pornography, prostitution, body parts and bodily fluids, stolen products and items used for theft, fireworks, explosives, and hazardous materials, government IDs, police items, unlicensed trade or dealing in stocks and securities, gambling items, professional services regulated by state licensing regimes, non-transferable items such as airline tickets or event tickets, non-packaged food items, weapons and accessories.
  • You may not use the RelevancyRank APIs in any manner or for any purpose that violates any law or regulation or any right of any person, including but not limited to intellectual property rights, rights of privacy, or rights of personality, that might be reasonably considered to be unlawful, fraudulent, deceptive, unethical, misleading or harmful to the RelevancyRank APIs or Hive Digital, Inc. or that is in any manner inconsistent with RelevancyRank.com’s Privacy Policy or these API Terms of Use.
  • If you become aware that any user of your implementation is in material breach of these API Terms of Use, any provisions you are required to offer or comply with under these API Terms of Use, or the Terms of Use linked pursuant to Section 3 and the RelevancyRank API Branding Requirements (the “Applicable Terms”), then you agree to notify Hive Digital promptly of such breach by e-mail to support@RelevancyRank.com , and to take commercially reasonable corrective action at your expense to remedy such breach. In addition, upon request of Hive Digital, you will either (a) use commercially reasonable efforts to obtain such equitable relief to prevent harm to Hive Digital or its licensors, or (b) assign any of your applicable rights to permit Hive Digital or the applicable licensor to seek such equitable relief. Your obligations to report and enforce the Applicable Terms will survive termination of these API Terms of Use and your use of the RelevancyRank API.

3. License to Hive Digital Brand & Links
You agree, and Hive Digital grants you a license, to implement the Hive Digital or RelevancyRank name, logo(s), trademark, and links to RelevancyRank.com (the “Hive Digital Brand & Links”) on any Web page incorporating the RelevancyRank API and/or Hive Digital Data, in accordance with the Hive Digital Branding Requirements.

4. Acceptable Use
You agree not to use the RelevancyRank API, Hive Digital Data, or Hive Digital Brand & Links in any way that is unlawful, or harms Hive Digital, its service providers, its suppliers, your end users, or any other person, or in violation of Section 2. Further, pursuant to Section 12 below, Hive Digital may terminate your use of the RelevancyRank API, Hive Digital Data and Hive Digital Brand & Links if and when Hive Digital determines that your use is inappropriate.

5. Limited Relationship
You and Hive Digital are independent contractors, and nothing in these API Terms of Use shall be construed as creating an employer-employee relationship, a partnership, or a joint venture. While you may publicly refer to the fact that you have implemented the RelevancyRank API, you agree not make any other public statements that assert or imply any other relationship with Hive Digital, unless you have Hive Digital’s prior written approval. Neither the name of Hive Digital nor the names of its contributors may be used to endorse or promote products derived from this software without specific prior written permission of Hive Digital.

6. Indemnity
You agree to hold harmless and indemnify Hive Digital, and its subsidiaries, affiliates, officers, agents, employees, and suppliers, from and against any claims, losses, damages (actual and consequential), suits, judgments, costs and expenses (including attorneys’ fees) of every kind and nature arising from or in any way related to your or your users’ use of the RelevancyRank API or Hive Digital Data, use of Hive Digital Brand & Links other than as set forth in the RelevancyRank API Branding Requirements, violation of these API Terms of Use or other actions connected with your or your users’ use, development or distribution of Hive Digital services, including any infringement of any third party proprietary rights.

7. NO WARRANTY
Hive Digital PROVIDES THE RelevancyRank API, Hive Digital DATA, AND Hive Digital BRAND & LINKS “AS IS,” “WITH ALL FAULTS” AND “AS AVAILABLE,” AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Hive Digital AND ITS SUPPLIERS MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED. Hive Digital AND ITS SUPPLIERS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED, INCLUDING WITHOUT LIMITATION (A) WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS AND NON-INFRINGEMENT, (B) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, AND (C) WARRANTIES OR CONDITIONS OF UNINTERRUPTED OR ERROR-FREE ACCESS OR USE.

8. LIABILITY LIMITATION; EXCLUSIVE REMEDY
IN NO EVENT WILL Hive Digital OR ANY SUPPLIER BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM THESE API TERMS OF USE OR YOUR USE OF RelevancyRank API, Hive Digital DATA, OR Hive Digital BRAND & LINKS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE EXCLUSION OF DAMAGES UNDER THIS PARAGRAPH IS INDEPENDENT OF YOUR EXCLUSIVE REMEDY AND SURVIVES IN THE EVENT SUCH REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IS OTHERWISE DEEMED UNENFORCEABLE. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (A) BREACH OF CONTRACT, (B) BREACH OF WARRANTY, (C) NEGLIGENCE, OR (D) ANY OTHER CAUSE OF ACTION, TO THE EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. IF YOU DO NOT AGREE WITH ANY PART OF THESE API TERMS OF USE, OR YOU HAVE ANY DISPUTE OR CLAIM AGAINST Hive Digital OR ITS SUPPLIERS WITH RESPECT TO THESE TERMS OF USE OR THE SERVICES, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE RelevancyRank API, Hive Digital DATA, AND Hive Digital BRAND & LINKS.

9. Intellectual Property
The RelevancyRank API, Hive Digital Data, and Hive Digital Brand & Links are the property of Hive Digital, Inc., and Hive Digital and its applicable licensors retain all rights, title and interest (including all patent, trademark, copyright and other proprietary rights) in and to the RelevancyRank APIs, Hive Digital Data, and Hive Digital Brand & Links, as well as any derivative works in connection therewith.

10. Changes
Hive Digital reserves the right to change the API Terms of Use at any time, and you are responsible for regularly reviewing these API Terms of Use. Hive Digital may also modify any of the RelevancyRank APIs or methods of accessing the RelevancyRank APIs for any or no reason at any time. Your continued use of the RelevancyRank API and/or Hive Digital Data after the effective date of such changes will constitute acceptance of and agreement to any such changes. Hive Digital may suspend or discontinue the Services at any time to you and/or to others, without notice. These API Terms of Use do not create any right to rely upon the continued availability of and/or access to the RelevancyRank APIs.

11. Fees and Payments
Hive Digital reserves the right to charge fees for future use of or access to the Hive Digital Free API or the Hive Digital services and Web sites (collectively, “RelevancyRank APIs Services”) in Hive Digital’s sole discretion. If Hive Digital decides to charge for the RelevancyRank APIs Services, such charges will be disclosed to you prior to their effect, and your refusal to accept and pay such fees after receiving such notice will result in termination of your use of the RelevancyRank API, Hive Digital Data, and/or Hive Digital Brand & Links. Hive Digital will charge fees for the use of the Paid RelevancyRank API in accordance with the individual contracts that grant access to that system to customers.

12. Termination
Hive Digital may change, suspend or discontinue the RelevancyRank API and suspend or terminate your use of the RelevancyRank API, Hive Digital Data, and/or Hive Digital Brand & Links at any time for any reason, with or without cause, and without notice, and such use by you will automatically terminate in the event of your failure to comply with any provision of these API Terms of Use, RelevancyRank API Branding Requirements, Privacy Policy or hivedigital.com’s Terms of Use. You may also terminate by ceasing to use the RelevancyRank API, Hive Digital Data, and Hive Digital Brand & Links, removing implementation of the RelevancyRank API from your Web site(s) and application(s) and deleting all copies of the Hive Digital Data and Hive Digital Brand & Links.

13. Choice of Law; Disputes
These API Terms of Use are governed by the laws of the State of North Carolina, without giving effect to its conflict of laws provisions. You agree to submit to exclusive jurisdiction and venue in the state and federal courts sitting in Wake County, North Carolina, for any and all disputes, claims and actions arising from or in connection with the Services and/or these API Terms of Use. In any dispute arising under this Agreement, the prevailing party will be entitled to attorneys’ fees and expenses.

14. General
You represent that you have the authority to bind the organization (if any) identified in your registration for the RelevancyRank API . You agree not to export from anywhere any part of the RelevancyRank API, Hive Digital Data, or Hive Digital Brand & Links provided to you or any direct product thereof except in compliance with, and having obtained all licenses and approvals required under, applicable export laws, rules and regulations. If provided to the U.S. government, the RelevancyRank API, Hive Digital Data, or Hive Digital Brand & Links are provided with the commercial license rights described herein. If any part of these API Terms of Use is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be replaced with a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these API Terms of Use will continue in effect. The section titles in these API Terms of Use are solely used for the convenience of the parties and have no legal or contractual significance. Hive Digital may assign these API Terms of Use, in whole or in part, at any time with or without notice to you. You may not transfer, assign, sublicense, or delegate the API Terms of Use or your APIKEY to any third party. Hive Digital’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. Except as expressly stated herein, these API Terms of Use constitute the entire agreement between you and Hive Digital with respect to the Services and supersede all prior or contemporaneous communications of any kind between you and Hive Digital with respect to the RelevancyRank API, Hive Digital Data, or Hive Digital Brand & Links.
